Mammoth looks to dismiss Precision’s $45M lawsuit

Mammoth Freighters filed a motion Dec. 22 to dismiss the lawsuit Precision Aircraft Solutions filed in October, claiming that Precision’s allegations are vague and lack evidence. Precision claims in the suit , filed Oct. 20 in the U.S. District Court in Oregon, that it learned in August that Mammoth was allegedly using proprietary Precision documents without Precision’s permission or knowledge, to create its 777 conversion program . (Courtesy/Mammoth Freighters)[/caption] However, Mammoth argues in its motion to dismiss that Precision’s complaint lacks standing and fails to prove its assertions. Also, Mammoth calls the timing of the suit “suspect,” especially considering that Precision claims in its suit that it first discovered Mammoth misappropriating its data in 2023. Precision “waited to sue, filing its complaint just as Mammoth is about to begin fulfilling the many orders for its converted 777 freighters,” the motion says. “Precision’s timing ... smacks of an effort to harass Mammoth at a particularly important and busy time in the hope of getting a quick settlement.” Mammoth, launched in 2020, had expected to receive an STC before yearend for its 777-200LRMF conversion program, Mammoth Chief Executive Bill Tarpley said at Cargo Facts Symposium in October. This would be Mammoth’s first STC. Attorneys for Mammoth and Precision did not respond to requests for comment before publication. Founded in 2001, Precision, the parent company of Precision Conversions and 321 Precision Conversions, holds STCs from the FAA for its 757 conversion program and A321 conversion program . The deadline to respond to the motion to dismiss is Jan. 5. Allegations denied The lawsuit alleges that Mammoth used Precision’s proprietary processes and know-how for how to obtain an STC, according to the lawsuit. However, the motion to dismiss claims that Mammoth co-founder William Wagner, the lead engineer on Precision’s 757 conversion program, had received a license allowing him to use “Precision know-how,” which includes “all intangible methods, processes, improvements, concepts, ideas and information developed by or for Wagner” during the development of the 757 conversion program. Nevertheless, Mammoth argues that Precision’s suit fails to show that Mammoth was using Precision’s information. Precision also alleges in the suit that Mammoth has poached at least twenty former Precision employees, targeting engineers. These employees had signed agreements not to use Precision data after departing the company, the suit claims. Mammoth counters that it did nothing to induce engineers to leave Precision for Mammoth. The lawsuit states that Mammoth and Precision entered an agreement in 2024 in which some Precision employees would provide limited engineering support to Mammoth as it worked on its 777 conversion program. Precision said in its suit that, at the time, it “had excess engineering capacity” and “did not have enough internal engineering work.” Mammoth says in the motion that lack of work and opportunity at Precision is a far more plausible reason for the employee turnover. Reasons to dismiss Mammoth’s motion additionally calls for the lawsuit to be dismissed with claims that: Sole plaintiff Precision Aircraft Solutions lacks standing as it does not own the trade secrets at issue — its subsidiaries do; Precision’s pathway for gaining an STC is not unique and is therefore not a trade secret; Precision’s suit is overly vague, claiming that Mammoth has an “enormous number” of Precision’s trade secrets, yet identifies only three documents; and Precision’s claims are preempted by higher acts and laws. Precision requested a jury trial and seeks a permanent injunction that would require Mammoth to return or destroy all documents containing Precision data, and prevent Mammoth from using any of the data. Precision is seeking $45 million in damages, according to the suit.
